More About Me

Prior to joining BrownWinick, I practiced corporate and securities law in New York City, New York, where I am also licensed. My practice primarily focused on corporate governance and Securities and Exchange Commission reporting matters, along with understanding and providing advice regarding best practices for publicly traded companies. I specialized in working on SPAC and de-SPAC transactions, including: the successful de-SPAC transaction between Spartan Acquisition Corp. II and Sunlight Financial, Decarbonization Acquisition Corporation V’s IPO and continuing reporting requirements for SPACs after launch. I have also worked on public securities offerings for existing public companies. I regularly assisted clients with matters regarding compliance with federal securities laws and NYSE and NASDAQ listing requirements; review and drafting of annual, current and quarterly reports, proxy statements, and press releases; public disclosure and other matters related to environmental, social, and governance (“ESG”) issues; preparation for board and stockholder meetings; and review of internal company policies, organizational documents, corporate governance guidelines and board committee charters.
