Drew D. Larson is a member of BrownWinick and serves as chair of the firm's Innovation Committee. Drew practices primarily in the areas of corporate formation and transactions, health law, intellectual property, estate planning, and tax. He represents business clients in various aspects of their operations, including startup organization, financing, acquisitions, contract drafting and negotiation, succession planning and regulatory compliance.
Drew has a particular passion for working with technology startups, manufacturers, healthcare providers and other entrepreneurs, working with them to structure their business, protect their intellectual property, and remove obstacles so that businesses can continue to grow. Drew views his role as an attorney as a trusted advisor and partner with his clients, helping to assess their legal needs and working to provide the most simple, straightforward and complete answers as possible.
He also works with many closely held business owners and farmers to prepare for transitioning their businesses to future generations in a manner that accomplishes the owners' personal and financial goals. Drew believes that estate planning is about more than just minimizing taxes, but is also about transferring values and ensuring that future generations are prepared for the responsibilities that come with owning a business or managing significant wealth.
Drew is also active in the community. He currently serves as President on the Board of Directors for Bethany Life Communities, a non-profit corporation that provides for a variety of nursing, housing, assisted living and other elder services in Story City, Iowa and surrounding areas. He is active with the Technology Association of Iowa and the Iowa Association of Business and Industry. He previously served as the President and on the Board of Directors for Good Neighbor Emergency Assistance of Story County, a non-profit corporation which provides emergency food, housing and utility assistance in Story County, Iowa.
Drew has been selected for inclusion in Super Lawyers as a Rising Star in the Business/Corporate area.
Drew graduated, magna cum laude, in 2006 from Iowa State University with a B.S. in Accounting and Political Science. In 2008, Drew received his J.D., with distinction, from the University of Iowa. While at the University of Iowa, Drew served as newsletter Editor and Treasurer of the Environmental Law Society and was a Hammond Chapter Member of Phi Alpha Delta. Drew was admitted to the Iowa bar in 2009.
Representative Transactions
Represented leading manufacturer of tools and equipment in the buyout of founders through the series of related transactions including the purchase of separately owned real estate, the creation of an ESOP, the purchase of company stock by the ESOP, and negotiating new financing for the ESOP.
Represented a client in the acquisition of a manufacturer of specialty manufacturing tools, tool holders and related accessories, and the related relocation of the purchased business to our client's primary facilities.
Men's Style Lab, Inc.
Represents Men's Style Lab, Inc., an internet-based, curated clothing retailer that provides style upgrades for everyday guys. The representation has included a $750,000 equity capital offering and a $1,100,000 convertible debt offering to finance the company's rapid growth.
Represented a leading national provider of diversified behavior health services for people with behavioral, emotional or physical challenges in the acquisition of a residential treatment facility for girls. The transaction included the purchase of real estate and the transfer of licenses and governmental contracts in the highly regulated health care market.
Represented a manufacturer of farm implements in a sale of substantially all of its assets, including inventory, receivables, equipment and real estate / VALUE: $18,250,000.
