Thomas D. Johnson, Attorney at Law
Tom practices primarily in corporate and
securities law and brings over eighteen
years of merger and acquisition, corporate finance and
securities law experience to the firm's practice. Tom represents business clients
in all aspects of their business operations, including mergers and acquisitions,
public and private equity financing, debt and mezzanine financing, business organization
and planning, board of director operations and duties, shareholder matters and
contract negotiations. Tom also provides general counsel services to numerous
clients.
Tom has served as Chair of the Securities Law Subcommittee and a member of the
Business Corporation Law Subcommittee of the Iowa State Bar Association. As Chair,
the Securities Law Subcommittee drafted the new Iowa Uniform Securities Act. During
Tom's tenure as a member of the Business Law Corporation Subcommittee, the Subcommittee
drafted the new Iowa Business Corporation Act.
Tom has been a speaker on securities law and corporate law matters at continuing
legal education programs sponsored by the Iowa State Bar Association. Tom has
also written several legal articles and columns for the Ethanol Producer Magazine
and has been an author/contributor to the Business Law Manual of the Iowa State
Bar Association. Since 2008, Tom has been selected as a leader in Iowa for inclusion
in Chambers USA in the area of corporate/M&A.
Tom is a member of the Polk County, Iowa State and American Bar Associations
as well as the Iowa Society of Certified Public Accountants.
Tom received his B.B.A. in 1984 and his J.D., with high distinction, in 1990 from the University of Iowa. Tom was admitted to the Illinois bar in
1990 and the Iowa bar in 1992. He is also admitted to practice before the United
States District Courts for the Northern District of Illinois and Northern and
Southern Districts of Iowa. Tom received his Certified Public Accountant Certificate
from the University of Illinois in 1985.
