Jonathan A. Napier is a member of BrownWinick. Before returning to private practice in Des Moines in 2013, Jonathan spent more than a dozen years leading the legal teams for a series of private equity owned companies in Dallas, Texas. Before that, he practiced law at a large law firm in Indianapolis.
Jonathan served as General Counsel and Executive Vice President for a private equity owned company, The Broadlane Group, LLC, the nation's leading provider of supply chain and cost management solutions. It transacted more than $10 billion in annual purchase volume. He built and led an industry leading procurement process standardizing legal documents and negotiation approaches based on proven best practices for each individual transaction. He implemented LEAN and Six Sigma systems across the legal department and built detailed quality measurements to ensure the contract drafting and negotiation process operated quickly, consistently, and efficiently.
After selling The Broadlane Group to a large public competitor for $850 million, Jonathan was recruited by a $20 billion private equity company in Dallas to serve as General Counsel and Senior Vice President for CCS Medical, one of its recently acquired portfolio companies. CCS Medical has been one of the nation's largest mail order suppliers of durable medical equipment and diabetes testing products.
Jonathan handles mergers and acquisitions, as well as limited investment transactions for mid-market clients. He advises on strategic options and actively negotiates transaction terms for his clients from term sheet to final closing. He also advises growth-stage companies as they prepare for maturity and exit.
As a member of several companies' executive management teams, Jonathan understands business reality and recognizes the need to find practical, strategic, and business-friendly solutions in all situations. He focuses on advance business and legal planning to avoid surprises, finding creative and practical solutions when issues do arise, and creating repeatable, convenient, and cost-effective processes and standard forms and for in-house legal and business teams' ongoing use. He writes all documents in "plain language" and strives to find the quickest, least expensive, and most effective solution in every situation.
Jonathan received his B.A., with honors in Religion, from the University of Iowa in 1995. While in law school, he was a Member of the Iowa Law Review, Captain of a Moot Court team, and earned his J.D. with high distinction, in 1998. Jonathan was admitted to the Indiana bar in 1998 (inactive), the Colorado bar in 2013 (inactive), and became an active member of the Iowa bar in 2009. He is a member of the Iowa State and American Bar Associations.
